1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "User", or "Institution") and Lavener Holdings (GSTIN: 07AJEPF6326P1ZX), regarding your access to and use of lavener.com, custom software development services, and our School Setu ERP platform.
2. Services & Project Engagements
Lavener Holdings delivers digital engineering services including custom website development, mobile application development (iOS and Android), CRM configuration, AI/ML prototypes, and learning platforms.
- Scope & Quotations: All bespoke projects are executed according to a mutually agreed written proposal or scope sheet specifying timelines, deliverables, technology choices, and fees.
- Change Requests: Additions or substantive alterations beyond the agreed project scope are estimated and invoiced as separate work orders.
- User Acceptance: Following completion of agreed milestones, the client has a reasonable acceptance review window to verify deliverables against the scope document.
3. School Setu ERP Terms & Support Schedule
Subscriptions or licensing of School Setu ERP are governed by clear support and setup commitments:
- Initial Data Setup: Import-ready, structured digital data is configured and mapped within 2 to 3 working days after full data, required server access, structure confirmation, and advance payment are received. Unstructured or physical paper records are subject to prior evaluation with no fixed delivery guarantee.
- Onboarding & Training: Basic administrator and staff training is included during the first calendar month following software handover.
- Included Maintenance: Three (3) calendar months of standard maintenance and technical assistance are included starting from the date the advance payment is received.
- Subsequent Maintenance: Ongoing support, additional custom modules, or SLA renewals after the initial included period are invoiced separately as agreed in writing.
- Printing Modules: A4 fee-slip PDF generation is available. Report-card, student ID, and salary-slip printing remain on our development roadmap and are delivered as updates when released.
4. Intellectual Property & Ownership
- Custom Client Work: Upon full and final settlement of agreed invoices, all custom source code and assets authored exclusively for a bespoke project belong to the client.
- Proprietary Platforms: School Setu ERP, including its core proprietary architecture, database schemas, underlying platform code, and trademarks, remains the exclusive intellectual property of Lavener Holdings. Clients receive a non-exclusive license to use the system for their registered institution.
5. Payment Terms & Advances
Invoices are issued in Indian Rupees (INR) or agreed foreign currency, subject to applicable Goods and Services Tax (GST). Work commences upon receipt of the agreed initial advance deposit. All payments must be made to the authorized account of Lavener Holdings.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Lavener Holdings shall not be liable for any indirect, incidental, consequential, or punitive damages resulting from downtime, network disruptions, third-party hosting outages, or unauthorized third-party access outside our direct control.
7. Governing Law & Jurisdiction
These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of India, with exclusive jurisdiction in the competent courts of New Delhi, India.
